Terms & Conditions

1. Scope and provider

These General Terms and Conditions govern all contracts concluded via artiko.club between Artico Club FZE LLC, CWS-1V-228249, 26th Floor, Amber Gem Tower, Ajman, United Arab Emirates (Licence No. 2624819526888, issued by Ajman NuVentures Centre Free Zone) — the "Provider" — and the customer. Deviating terms of the customer do not apply unless expressly agreed in writing.

2. Services offered

The Provider offers (a) digital products such as templates, documents and reports for one-time purchase, (b) paid memberships granting access to content, data and community features, and (c) advisory, brokerage and referral services agreed separately. The platform provides information and access — it does not provide investment, tax or legal advice.

3. Conclusion of contract

Product listings do not constitute a binding offer. By submitting an order the customer makes a binding offer; the contract is concluded upon our order confirmation or delivery of the digital product. Memberships require an application and are concluded only upon written acceptance by the Provider. Admission is at the Provider's sole discretion.

4. Prices and payment

All prices are in Euro. Statutory VAT is applied where required; for cross-border B2B supplies within the EU the reverse charge mechanism may apply where a valid VAT ID is provided. Payment is accepted by credit card or SEPA Direct Debit (via Stripe) and, for one-off purchases, by digital asset payment (NOWPayments). Memberships are payable by SEPA Direct Debit or credit card only. Access is granted after payment has been confirmed. If a recurring membership payment fails, access remains active for a grace period of seven (7) days so the payment method can be updated; after this period the membership is suspended until the outstanding payment is settled.

5. Membership term and renewal

Memberships (Member and Private Office) are concluded for a minimum term of twelve (12) months, billed monthly in advance. The membership renews for successive twelve-month periods unless terminated in text form with thirty (30) days' notice before the end of the current term. The right to terminate for good cause remains unaffected. The Provider may terminate a membership with immediate effect in the event of misuse, breach of confidentiality or conduct damaging to the network.

6. Digital products, licence and discounts

Purchased templates and documents are licensed to the customer for internal business use, non-exclusive, non-transferable and worldwide. Resale, redistribution, publication or sub-licensing is prohibited. Member discounts (30% for Members) and included template access (Private Office) apply only while the membership is active and are strictly personal.

7. Data and directory access

Access to curated directories (including family office, investor and B2B contact data) is provided to Private Office members for their own business use only. Bulk export, scraping, resale, or transfer to third parties is prohibited. Members must comply with applicable data protection and anti-spam laws when contacting listed parties. Breach entitles the Provider to terminate access without refund.

8. Right of withdrawal (consumers)

Consumers within the EU have a right to withdraw from the contract within fourteen (14) days without giving reasons, by a clear declaration to business@artiko.club.

For digital content not supplied on a tangible medium, the right of withdrawal expires when performance has begun, provided the consumer has expressly consented to the immediate start of performance and acknowledged the resulting loss of the right of withdrawal. This consent is obtained at checkout. The right of withdrawal does not apply to contracts with businesses.

9. Confidentiality

All non-public information exchanged through the platform — including deal information, member identities and directory data — is confidential. Circumvention of the Provider in transactions introduced through the platform is prohibited and may give rise to damages under separately agreed NCNDA terms.

10. Liability

The Provider is liable without limitation for intent and gross negligence and for injury to life, body or health. In cases of slight negligence, liability is limited to the breach of essential contractual obligations and to the foreseeable damage typical for this type of contract. Content, deal information and third-party data are provided without warranty of accuracy, completeness or suitability; the customer is responsible for its own due diligence.

11. ARTIKO Verified

ARTIKO Verified confirms that identity, entity and mandate documents were reviewed at the time of verification. It is not a guarantee of a counterparty's conduct, solvency, authority or the outcome of any transaction. ARTIKO accepts no liability for decisions made on the basis of the verification status.

12. Availability

The Provider aims for high availability but does not warrant uninterrupted access. Maintenance, updates and events beyond the Provider's control may cause temporary interruptions.

13. Governing law and jurisdiction

The laws of the Emirate of Ajman and the applicable federal laws of the United Arab Emirates apply, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection provisions of the consumer's country of residence remain unaffected. For merchants, the exclusive place of jurisdiction is Ajman, United Arab Emirates.

14. Severability

Should any provision be or become invalid, the validity of the remaining provisions remains unaffected.
